Background

Mid-sized, publicly traded mining organization requested help to evolve their Management Information Circular, specifically the Compensation Discussion & Analysis (CD&A) section, from a “compliance” document to a shareholder communication tool.

Challenges

Various stakeholders involved (investors, proxy advisors, Committee members, Human Resources, Legal, Communications) with relevant but different perspectives to manage and address. This required defining a set of objectives, identifying key message and creating separate workstreams to draft / edit content.

Results

Redesigned the CD&A to reflect current “best practices” in pay disclosure and to improve the overall reader experience. Text was reduced by removing repetition and adding pictures and charts. Summary sections were created to highlight key messages and focus on content of interest to investors and proxy advisors.
